Terms of Service

1. Agreement to Terms

By engaging Laplace Consulting (a commercial name of Hats Consulting, registered in Brussels, Belgium) for LinkedIn ghostwriting services, you agree to be bound by these Terms of Service. If you do not agree to these terms, please do not use our services.

2. Services Provided

Laplace Consulting provides professional LinkedIn ghostwriting services, including but not limited to:

• Custom content creation for LinkedIn posts
• Strategic content planning and calendars
• Voice and vision development
• LinkedIn profile optimization (where applicable)
• Content review and revision services

All services are delivered asynchronously through our client portal. No synchronous meetings or calls are required or provided unless explicitly agreed upon in writing.

3. Client Responsibilities

As a client, you agree to:

• Provide accurate information in the Voice & Vision Blueprint
• Review and approve content in a timely manner
• Provide feedback and revision requests within the agreed timeframes
• Maintain active access to your LinkedIn account
• Not publish content that violates LinkedIn's terms of service
• Make timely payments as per the agreed schedule

4. Content Ownership and Rights

Client Ownership: Upon full payment, all content created specifically for you becomes your property. You may use, modify, and republish this content as you see fit.

Pre-Publication: Prior to full payment and final approval, all content remains the intellectual property of Laplace Consulting.

Portfolio Rights: We reserve the right to showcase anonymized versions of our work in marketing materials and case studies, unless you explicitly request otherwise in writing.

5. Payment Terms

Billing: Services are billed monthly in advance on the date of subscription.

Payment Methods: We accept payments via credit card, bank transfer, or other agreed-upon methods.

Late Payments: Accounts with payments overdue by more than 7 days may result in suspension of services until payment is received.

Price Changes: We reserve the right to modify pricing with 30 days' written notice.

6. Cancellation and Refunds

Cancellation: You may cancel your subscription at any time by providing written notice. Cancellation will take effect at the end of the current billing cycle.

Refund Policy: Please refer to our separate Refund Policy for detailed information regarding refunds.

No Partial Refunds: Monthly fees are non-refundable once the billing cycle has begun and work has commenced.

7. Revisions and Approval

Unlimited Revisions: We offer unlimited revisions within the scope of the original content brief.

Scope Changes: Requests that significantly change the direction or scope of content may be considered new work and may incur additional fees.

Final Approval: Content will not be published without your explicit written approval via the client portal.

8. Confidentiality

We maintain strict confidentiality regarding:

• All information shared in the Voice & Vision Blueprint
• Business strategies and proprietary information
• Draft content and communications
• LinkedIn account credentials (if provided)

This confidentiality obligation survives termination of our services.

9. LinkedIn Account Security

No Password Required: We use official LinkedIn API integrations and never require your password.

Authorization: You maintain full control and can revoke our access at any time through LinkedIn's official settings.

Security: We implement industry-standard security measures to protect your account information.

10. Limitation of Liability

Laplace Consulting and Hats Consulting shall not be liable for:

• Any indirect, incidental, or consequential damages
• Loss of revenue, profits, or business opportunities
• LinkedIn algorithm changes affecting post performance
• Actions taken by LinkedIn regarding your account
• Results or engagement metrics on published content

Our total liability shall not exceed the amount paid by you in the three months preceding any claim.

11. Service Guarantees and Disclaimers

Quality Guarantee: We guarantee professional, high-quality ghostwriting services delivered by experienced writers.

No Results Guarantee: While we strive for excellence, we cannot guarantee specific metrics such as follower growth, engagement rates, or business outcomes, as these depend on numerous factors beyond our control.

LinkedIn Compliance: We create content that complies with LinkedIn's terms of service, but we are not responsible for changes to LinkedIn's policies or enforcement actions.

12. Termination

Either party may terminate this agreement with written notice. Upon termination:

• You remain responsible for payment of services rendered through the end of the current billing cycle
• We will deliver all completed work up to the termination date
• Access to the client portal will be maintained for 30 days for retrieval of content
• All confidentiality obligations remain in effect

13. Modifications to Terms

We reserve the right to modify these Terms of Service at any time. Changes will be communicated via email at least 30 days before taking effect. Continued use of our services after changes take effect constitutes acceptance of the modified terms.

14. Governing Law

These Terms of Service shall be governed by and construed in accordance with the laws of Belgium. Any disputes arising from these terms shall be subject to the exclusive jurisdiction of the courts of Brussels, Belgium.
